# Terms of Service

## Agreement to Terms
By accessing or using Protorip, operated by Strange Computer (ABN 33 257 301 620), you agree to be bound by these Terms of Service. This applies whether you use Protorip and the protos.rip registry with or without an account. If you do not agree to these terms, you may not access or use the service.
## Description of Service
Protorip provides a registry (protos.rip) for the hosting and distribution of Protocol Buffers modules primarily for use in developer workflows via the open source buf CLI. The protos.rip registry may be used anonymously to access public modules or with an account to access private modules for you and your organisation.
This document uses both 'Protorip' and 'protos.rip' to refer to the service interchangeably.
## Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the service. If you use the service on behalf of an organisation, you must have the capacity to agree to these terms on the organisation's behalf.
## Account Registration
Each person who uses Protorip with an account must register their own individual account. You must not share accounts.
You are responsible for maintaining the security of your account and for all activities that occur through your use of the service. You must notify us immediately of any unauthorized use of your account.
All accounts registered must be held by a real person.
## Changes to the Service
We may change the service from time to time. If a change would meaningfully affect you as a paying customer, we will email you with 30 days notice. Smaller changes take effect immediately when published.
## Your Code and Data
You retain all ownership rights to your code and published data. We do not claim any intellectual property rights over your code.
You grant us a limited, non-exclusive licence to host, store, cache, process, and serve your code and data as necessary to operate the service. This licence terminates when you delete your account, except in respect of publicly published content we may continue to host.
All code, content, and data uploaded to the platform must follow our [Acceptable Use Policy](/acceptable-use) and the law. We may remove any content in violation without notice.
## Publicly Published Content
Any code or data that you upload and publish to the public registry immediately becomes publicly accessible.
When you publish public content, you accept that anyone can view, download, and redistribute it.
You are solely responsible for the content you publish. By publishing, you confirm that you own or have the right to publish that content, and that doing so does not violate the rights of any third party or the law.
We allow you to publish a licence document alongside your content. Enforcement against the licence is your responsibility, not ours.
We'll respond to credible copyright and trademark notices through the process in the [Acceptable Use Policy](/acceptable-use).
## Public Module Retention
Code published publicly to protos.rip is intended for public consumption and can become part of other users' development workflows.
In order to provide the service without interruption, we reserve the right to retain your publicly published content where we deem removing it would have impacts on downstream users.
## Payment and Billing
Certain features of the service require a paid subscription. We also offer an OSS plan for qualifying open source projects, subject to additional [OSS Tier Terms](/oss).
When you sign up for a paid plan, you agree to pay all applicable fees and allow us to charge your billing method each period until you cancel. Prices published include all applicable taxes.
Subscriptions automatically renew at the end of each billing period. You can cancel your subscription at any time from your account settings.
Subscription cancellations take effect at the end of the current billing period. No refunds or credits are provided for partial billing periods except as required by law.
When you upgrade to a higher-priced plan, we pro-rate the price difference for the remainder of the current billing period.
We may change our pricing with at least 30 days notice, taking effect on your next billing cycle. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.
## Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access to the service. We may modify, suspend, or discontinue the service or any part of the service with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.
## Suspension and Termination
You can close your account at any time from the dashboard.
We may suspend or terminate your account at our discretion if we determine it is necessary to protect the service, other users, or to enforce these terms.
When your account is closed, your private modules are deleted along with it. Some content you have published publicly may be retained for the continuity of our public registry service. Deletion of your personal information is covered by the [Privacy Policy](/privacy).
## Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.
## Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of the service. Our total liability to you for any claim arising out of these terms or your use of the service is limited to the amount of fees you paid us in the 12 months preceding the event giving rise to the claim.
## Consumer Rights
Nothing in these terms limits any consumer rights you have under the law where you live that cannot be limited by agreement. Where we fail to meet a consumer guarantee under the Australian Consumer Law, our liability is limited, to the extent the law allows, to resupplying the service or paying the cost of having the service resupplied.
## Indemnification
You agree to indemnify us against any third-party claims, damages, or expenses arising out of your content, your breach of these terms, or your violation of someone else's rights or the law, to the extent the law allows. If a claim arises, we will notify you and let you take part in handling it.
## Changes to These Terms
We may update these terms from time to time. If a change would meaningfully affect you as a paying customer, we will email you with 30 days notice. Smaller changes take effect immediately when published.
## Governing Law
These terms are governed by the laws of Victoria, Australia. Any dispute arising out of these terms is subject to the exclusive jurisdiction of the courts of Victoria, Australia, subject to any consumer protection law that gives you additional options.
## Severability
If a court finds any part of these terms unenforceable, the rest remains in force.
## Entire Agreement and Notices
These terms are the entire agreement between you and us regarding your use of Protorip. Our failure to enforce any provision does not waive our right to enforce it later. We will send notices to the email address on your account; you can reach us at [legal@protos.rip](mailto:legal@protos.rip).
